Terms of Use

Important Notice

planB provides a self-custody wallet interface. planB does not hold complete private keys or custody your digital assets. Wallet operations remain subject to your authentication and to permissions you grant to third-party services. planB is not a bank or custodian; regulated payment and card services are provided by third-party partners. Digital assets are not protected by deposit insurance and involve risk.

Welcome to planB. These Terms of Use ("Terms") govern your use of the planB mobile application and website (the "App"). Please read carefully. By downloading, installing, or using the App, you agree to these Terms. If you do not agree, you must not use the App.

1. Software License & Service Relationship

  • Your relationship with planB is a software license to use the App as an interface to public blockchain networks and to integrate with regulated third-party providers.
  • planB does not provide financial, brokerage, custody, money-transmission, deposit, lending, securities, or banking services.
  • The App is a user-controlled interface. planB does not store complete private keys or independently move your digital assets. Certain features use permissions you grant to third-party protocols or services.
  • This license is personal, non-exclusive, non-transferable and revocable in case of breach of these Terms or applicable law.

2. Who We Are

planB is a self-custody wallet application operated by Series 88 of OtoCo Base WY LLC, doing business as planB, a Wyoming series LLC.

The App provides tools for users to:

  • Create and manage self-custodial crypto wallets.
  • Spend funds via partner-issued payment cards.
  • Access fiat-to-crypto on/off-ramp services and payment features.

planB does not:

  • Hold, custody, or independently control or move your digital assets.
  • Provide banking, deposit, lending, or securities services.
  • Issue or promote tokens or investment products.

3. Self-Custody & Responsibility

  • You are responsible for safeguarding your devices, login credentials and configured wallet-recovery methods.
  • Wallet recovery depends on the recovery methods and providers available to you. planB cannot guarantee that access can be restored.
  • Because the model is self-custody, monitoring your balances, gains and losses, and producing any tax, accounting or regulatory reports required in your jurisdiction is your sole responsibility. planB does not produce statements for tax, accounting or regulatory purposes.
  • Once confirmed on the blockchain, transactions made using your wallet are generally irreversible. Review all details (network, address, amount, fees) carefully before confirming any operation.

4. Third-Party Services

Some Services are provided by independent third parties, including Avenia for Pix, Gnosis Pay and the applicable card issuer for the card programme, Privy for authentication and embedded-wallet infrastructure, and Sumsub for identity verification. Their services are governed by their own terms, privacy notices and legal obligations.

Where partner terms are presented, you must review and accept them before activating or using that partner Service. If you do not accept them, do not use that Service.

Partner Services may have separate eligibility rules, KYC/AML checks, limits, fees, reversals, dispute procedures and availability. Those requirements may change independently of planB.

Current card-programme and issuer details are shown during card onboarding.

5. Card Programme & Disputes

  • Card authorization. If you activate the card, you authorize the Gnosis Pay card programme and applicable issuer—not planB—to use the spending allowance you approve over specified assets in your Safe to settle card transactions. This permission does not extend to your Privy wallet, Bitcoin wallet or other planB wallets.
  • Programme balance. Adjustments such as reversals, late presentments, fees or exchange-rate changes may create an amount owed to the card programme under its terms. planB does not independently extend credit.
  • Card controls. The card programme may reserve authorized Safe amounts, decline or suspend card transactions, reverse provisional credits, and recover valid amounts due only under its terms and applicable law. planB may suspend access to the App for security, fraud, legal or Terms violations, but cannot freeze blockchain assets it does not control.
  • Disputes are governed by the issuer and card-network deadlines. You may need to contact the merchant first, and a chargeback or refund is not guaranteed.
  • Recurring or instalment payments remain active until cancelled with the merchant; cancelling the card may not cancel the underlying subscription.
  • Card settlements recorded on-chain are generally irreversible. Merchant refunds may take time to appear in your Safe.

6. No Banking or Custody

  • planB is not a bank and does not provide bank accounts.
  • Accounts and wallets in the App are not insured by the FDIC, SIPC, FGC, or any other government authority or deposit-insurance scheme.
  • Your digital assets remain on public blockchain networks and are not held by planB.

7. Risks

By using the App, you acknowledge risks including (but not limited to):

  • Volatility of digital assets and stablecoin de-peg risk.
  • Loss or compromise of wallet credentials or recovery factors.
  • Blockchain irreversibility. Once a transaction is broadcast to a public blockchain it cannot be reversed, cancelled or modified by planB or anyone else. Always double-check the network, address and amount before signing.
  • Forks and protocol changes. Public blockchains can fork. planB does not commit to support every fork or to deliver airdropped tokens that may result from a fork.
  • Blockchain network errors, delays, congestion, reorganisations or forks.
  • Failure, suspension, decline or insolvency of third-party providers.
  • Regulatory or tax changes impacting service availability or your obligations.
  • FX, settlement, force-post and chargeback risks specific to the Visa card programme that may result in negative programme balances payable by you.
  • Force majeure. planB is not liable for delays or failures caused by events outside its reasonable control, including government action, war, terrorism, pandemics, internet-infrastructure outages, blockchain instability (contentious forks, halts) or outages of cloud or infrastructure providers.

8. Eligibility & Sanctions

  • You must be at least 18 years old to use the App.
  • You may only use the App in compliance with applicable local laws.
  • We may restrict or terminate access where prohibited by law or regulation.
  • Restricted jurisdictions. planB relies on regulated partners that are required to comply with international sanctions. As a result, accounts and Services may not be made available to residents, citizens or persons accessing from jurisdictions classified as restricted by the partners or applicable sanctions regimes. The list of restricted jurisdictions may change at any time as a result of partner or regulatory updates.
  • Use of VPN, proxy, false declarations or any other technique to circumvent geographic, sanctions or KYC restrictions is a material breach of these Terms and may result in immediate account suspension and reporting to the relevant authorities.

By using the App you declare that: you are not a resident, citizen or accessing the App from a restricted jurisdiction; you do not appear on any national or international sanctions list; the funds you use are of lawful origin; and you will not use the App for any unlawful purpose. Restricted jurisdictions currently include (but are not limited to):

9. Privacy

  • planB processes limited account, security, KYC-status and transaction metadata needed to operate the App.
  • Identity documents, biometric checks and regulated payment or card data are handled by the applicable partners under their own privacy notices. planB does not store copies of identity documents, selfies or biometric verification data, or plaintext card numbers and CVVs.

10. Promotions & Campaigns

  • planB may from time to time offer promotional campaigns, referral programs, sign-up bonuses or other rewards ("Promotions"). Participation is subject to the specific terms of each campaign, eligibility rules and partner constraints in force at the time of participation.
  • Right to modify or cancel. planB reserves the right to modify, suspend or terminate any Promotion at any time without notice. No vested right to future Promotions or unaccrued rewards is granted.
  • Disqualification. planB may suspend Promotion access and cancel unpaid or off-chain promotional credits where it reasonably identifies multiple accounts, false data, automation, circumvention, self-referrals, collusion, fraud or other abuse. planB cannot unilaterally take on-chain assets it does not control.
  • Crypto-denominated rewards are subject to market volatility. planB may correct manifest promotional-record errors before on-chain settlement, subject to the campaign terms and applicable law; settled on-chain transfers cannot be reversed by planB.

11. Disclaimers

  • The App is provided "as is" and "as available," without warranties of any kind.
  • We do not guarantee uninterrupted service, error-free operation, or accuracy of third-party services.
  • Responsibility for partner-provided services is governed by the applicable partner terms and law. Nothing in these Terms excludes liability that cannot lawfully be excluded.
  • No fiduciary duty. These Terms do not create a fiduciary, asset-management or investment-advisory duty beyond obligations imposed by applicable law and the express terms of these Terms.
  • No investment advice. Information shown in the App (prices, quotes, balances) does not constitute investment, legal or tax advice. You operate at your own risk.

12. Indemnification

To the extent permitted by law, you will indemnify planB against third-party claims and reasonable costs caused directly by your unlawful misuse of the App or material breach of these Terms. This does not apply to claims caused by planB or where indemnification cannot lawfully be required.

13. Limitation of Liability

To the fullest extent permitted by law:

  • planB shall not be liable for indirect, incidental, special, exemplary, punitive or consequential damages of any kind, including loss of profits, loss of opportunity, loss of data or loss of goodwill.
  • Cap on direct damages. Considering that planB is a software and interface provider and not a custodian of your assets, except in cases of gross negligence or wilful misconduct duly proven, planB's total aggregate liability to you for any direct damages arising from or related to these Terms or the use of the App, regardless of the cause of action, shall be limited to the greater of (i) the total Service fees you paid to planB in the six (6) months immediately preceding the event giving rise to the claim, excluding network/gas fees and any fees charged by partners, or (ii) USD 100.
  • planB's liability shall under no circumstance be calculated based on the value of digital assets you hold on the blockchain, since planB does not custody or control those assets.
  • Specific exclusions. To the extent permitted by law and except where caused by planB's breach, planB is not liable for losses arising from compromised wallet credentials or recovery factors, blockchain failures, user transaction errors, partner failures or market volatility.
  • Brazilian users: these limitations apply to the maximum extent permitted by Brazilian law. Rights granted to consumers by the Código de Defesa do Consumidor (CDC) cannot be waived.

14. Taxes & Reporting

planB does not act as a withholding agent and does not retain, withhold or remit taxes on your behalf. Because the model is self-custody, you are solely responsible for: (a) calculating, declaring and paying any taxes (including capital-gains tax, income tax, IOF and any other tax) applicable to your transactions in your jurisdiction; (b) maintaining the records required for that purpose; and (c) responding to enquiries from your tax authority. planB does not provide tax, accounting, legal or financial advice. Information you may export from the App is provided for your convenience and is not certified for tax-filing purposes.

15. Account Closure, Succession & Estate

Account closure. You may request deletion in Settings → Security → Delete Account. Unless you choose and verify immediate deletion, a seven-day cancellation period applies, and you may cancel the request in the App during that period. Afterward, planB begins deleting or de-identifying data it controls, subject to funds, pending-operation, security, legal and provider checks. Closing the account does not delete on-chain assets or partner records. Move your assets to another wallet before deletion; planB cannot guarantee wallet recovery. Any valid obligation to a card provider survives as provided by its terms and applicable law. Succession and estate. planB cannot use your wallet keys or transfer on-chain assets to an heir or estate. Keep an appropriate wallet-recovery and estate plan. For a valid legal request, planB will handle only account data under its control as required by law; access to assets remains subject to the wallet's recovery method and provider controls.

16. No Unclaimed Property

Because planB does not custody your digital assets, inactivity does not allow planB to take or transfer them. Assets remain on-chain subject to the wallet's access and recovery controls. This does not limit any legal obligation that may apply to account records controlled by planB or a partner.

17. Dispute Resolution & Governing Law

  • These Terms are governed by Wyoming law, subject to any mandatory law that applies where you live.
  • Please contact contact@planb.army first so we can try to resolve a dispute informally. This does not restrict urgent remedies or non-waivable rights.
  • Where legally permitted, disputes not resolved informally will be submitted to binding arbitration in Sheridan County, Wyoming, in English under the American Arbitration Association rules.
  • Brazilian consumers retain all mandatory rights under the Código de Defesa do Consumidor, including access to the courts of their domicile. Arbitration is optional for a Brazilian consumer and requires agreement after the dispute arises.

18. Changes

We may update these Terms and will publish the new effective date. We will give reasonable notice of material changes when required by law and request affirmative acceptance where required.
