Important Notice
planB is a self-custodial wallet. You, and only you, control your private keys and assets. planB does not hold or have access to your funds, does not issue tokens, and is not a bank or money transmitter. Your digital assets are not insured by the FDIC, SIPC, or any government authority. Use of the App is at your own risk.

Welcome to planB. These Terms of Use ("Terms") govern your use of the planB mobile application and website (the "App"). Please read carefully. By downloading, installing, or using the App, you agree to these Terms. If you do not agree, you must not use the App.
1. Software License & Service Relationship
- Your relationship with planB is a software license to use the App as an interface to public blockchain networks and to integrate with regulated third-party providers.
- planB does not provide financial, brokerage, custody, money-transmission, deposit, lending, securities, or banking services.
- The App is a tool you operate; planB does not store, control, or move your digital assets on your behalf. Control of your assets always remains with you.
- This license is personal, non-exclusive, non-transferable and revocable in case of breach of these Terms or applicable law.
2. Who We Are
planB is a self-custodial wallet application developed and operated by planB – Series 88 of OtoCo Base WY LLC, a Wyoming Series LLC.
The App provides tools for users to:
- Create and manage self-custodial crypto wallets.
- Spend funds via partner-issued payment cards.
- Access fiat-to-crypto on/off-ramp services and payment features.
planB does not:
- Hold, custody, or have access to your digital assets.
- Provide banking, deposit, lending, or securities services.
- Issue or promote tokens or investment products.
3. Self-Custody & Responsibility
- You are solely responsible for safeguarding your wallet, private keys, recovery phrases and any device or credential used to access the App.
- If you lose your private keys or recovery phrases, planB cannot restore access to your assets.
- Because the model is self-custody, monitoring your balances, gains and losses, and producing any tax, accounting or regulatory reports required in your jurisdiction is your sole responsibility. planB does not produce statements for tax, accounting or regulatory purposes.
- Once confirmed on the blockchain, transactions made using your wallet are generally irreversible. Review all details (network, address, amount, fees) carefully before confirming any operation.
4. Third-Party Services
To deliver essential functionality, planB integrates with third-party sub-processors, including: Avenia (Brazilian payments provider for Pix operations, operating within the Brazilian Central Bank regulatory framework); Gnosis Pay Ltd. (gnosispay.com) and UAB Monavate (monavate.com - Lithuania, regulated by the Bank of Lithuania) for Visa card issuance; Privy Inc. (authentication and custodian of encrypted-shard cryptographic keys under user control); and Sumsub (identity verification, document and biometric checks, and sanctions/PEP screening at onboarding). planB also integrates additional sub-processors responsible for self-custodial wallet infrastructure, decentralized exchange routing protocols, cloud infrastructure, monitoring, and customer support, described by category in our Privacy Policy. Such sub-processors operate under their own terms of service, privacy policies and regulatory frameworks. planB selects sub-processors that provide adequate regulatory and contractual guarantees, but is not liable for the technical failures, downtime, or conduct of such sub-processors.
Auto-acceptance of partner terms. By using a Service that depends on a regulated partner, you accept the partner's own terms of service, privacy policy and acceptable-use rules in addition to these Terms. Reading and complying with the relevant partner terms is your responsibility; continued use of the Service constitutes acceptance.
These operations are subject to the partners' own terms, KYC/AML requirements, limits, fees and regulatory constraints, which can be updated independently of planB.
The planB Visa card is issued by UAB Monavate pursuant to licence by VISA Europe Limited.
5. Card Programme, Negative Balance & Disputes
- Spending allowance authorization. By activating the planB Visa card, you authorize the spending-allowance module operated by Gnosis Pay on your self-custodial Safe smart wallet to debit your collateral up to the contracted limit, in order to settle authorized Visa transactions. You also authorize planB and its partners to lock the authorized amount of any pending transaction until the corresponding capture, reversal or expiration.
- On-chain balance vs. programme debt. Your on-chain collateral (USDC/EURe in your Safe) is self-custodial — only you control it. A separate "programme debt" may arise off-chain whenever a Visa settlement, fee, refund reversal, FX adjustment, tip adjustment, force-post, late presentment or stablecoin de-peg makes the captured amount exceed the on-chain collateral or the available allowance. This off-chain programme debt is a credit obligation between you and the card programme — it exists outside your Safe and is enforceable in BRL or other applicable currency, even after you move funds out of the Safe.
- Automatic compensation. You authorize planB and its partners to automatically apply, without prior notice, any current or future balance, top-up, deposit, refund or credit held in any plan₿ wallet or product (including the Gnosis Pay Safe, the Privy embedded wallet, BTC balances and any future product) against any outstanding programme debt, fees, fines or chargeback liability you owe.
- Right to suspend, freeze or terminate the card. planB and its partners may immediately freeze, suspend or terminate the planB Visa card, individual transactions or your account where there is a programme debt, suspected fraud, suspected money-laundering or terrorism-financing risk, dispute proceedings, regulatory request, scheme rule violation, or breach of these Terms.
- Provisional credit in disputes is reversible. If we issue a provisional credit while a dispute is investigated, that credit is conditional and reversible. If the dispute is decided against you (in whole or in part), the credit will be reversed and any resulting programme debt is immediately due.
- Formal collection. If a programme debt remains unpaid after thirty (30) days from notice, planB may (a) charge late-payment interest, monetary correction and contractual fees as permitted by applicable law, (b) refer the debt to third-party collection agencies, and (c) register your default with credit bureaus (in Brazil including Serasa, SPC and similar). Cure of the default removes the registration in accordance with applicable law.
- Fraud prevention & step-up. We may decline, hold or step-up (e.g. 3DS, push verification, Privy session re-validation) any transaction we suspect of fraud, account takeover or violation of scheme rules, even if your balance and allowance are sufficient. You agree to cooperate with reasonable verification requests.
- Disputes — merchant-first and time limits. For most issues you must first attempt to resolve the matter directly with the merchant. Disputes must be raised within the timeframes set by the Visa scheme rules and the issuer; we cannot guarantee a chargeback will succeed or that funds will be recovered.
- Recurring transactions & subscriptions. Authorizations for recurring or installment charges remain in force until you cancel them with the merchant. Card cancellation alone does not necessarily terminate a recurring authorization. You are responsible for managing your active subscriptions.
- Irreversibility. Once captured by Visa and settled on-chain by the spending-allowance module, transactions are generally irreversible. Refunds, when granted by the merchant, are credited as on-chain deposits to your Safe and may take time to appear in your in-app balance.
6. No Banking or Custody
- planB is not a bank and does not provide bank accounts.
- Accounts and wallets in the App are not insured by the FDIC, SIPC, FGC, or any other government authority or deposit-insurance scheme.
- Your digital assets remain entirely under your control on the blockchain.
7. Risks
By using the App, you acknowledge risks including (but not limited to):
- Volatility of digital assets and stablecoin de-peg risk.
- Loss of private keys or recovery phrases.
- Blockchain irreversibility. Once a transaction is broadcast to a public blockchain it cannot be reversed, cancelled or modified by planB or anyone else. Always double-check the network, address and amount before signing.
- Forks and protocol changes. Public blockchains can fork. planB does not commit to support every fork or to deliver airdropped tokens that may result from a fork.
- Blockchain network errors, delays, congestion, reorganisations or forks.
- Failure, suspension, decline or insolvency of third-party providers.
- Regulatory or tax changes impacting service availability or your obligations.
- FX, settlement, force-post and chargeback risks specific to the Visa card programme that may result in negative programme balances payable by you.
- Force majeure. planB is not liable for delays or failures caused by events outside its reasonable control, including government action, war, terrorism, pandemics, internet-infrastructure outages, blockchain instability (contentious forks, halts) or outages of cloud or infrastructure providers.
8. Eligibility & Sanctions
- You must be at least 18 years old to use the App.
- You may only use the App in compliance with applicable local laws.
- We may restrict or terminate access where prohibited by law or regulation.
- Restricted jurisdictions. planB relies on regulated partners that are required to comply with international sanctions. As a result, accounts and Services may not be made available to residents, citizens or persons accessing from jurisdictions classified as restricted by the partners or applicable sanctions regimes. The list of restricted jurisdictions may change at any time as a result of partner or regulatory updates.
- Use of VPN, proxy, false declarations or any other technique to circumvent geographic, sanctions or KYC restrictions is a material breach of these Terms and may result in immediate account suspension and reporting to the relevant authorities.
By using the App you declare that: you are not a resident, citizen or accessing the App from a restricted jurisdiction; you do not appear on any national or international sanctions list; the funds you use are of lawful origin; and you will not use the App for any unlawful purpose. Restricted jurisdictions currently include (but are not limited to):

9. Privacy
- planB does not directly collect or store sensitive personal information (such as government IDs or payment details).
- Such data may be collected and processed by regulated service providers for compliance with applicable laws.

10. Promotions & Campaigns
- planB may from time to time offer promotional campaigns, referral programs, sign-up bonuses or other rewards ("Promotions"). Participation is subject to the specific terms of each campaign, eligibility rules and partner constraints in force at the time of participation.
- Right to modify or cancel. planB reserves the right to modify, suspend or terminate any Promotion at any time without notice. No vested right to future Promotions or unaccrued rewards is granted.
- Disqualification. planB may disqualify a user, freeze the relevant account and reverse, cancel or claw back rewards (including those already credited) where it identifies, in its reasonable judgement, multiple-account creation, false data, automation or scripts, VPN-based circumvention, self-referrals, collusion, fraud or any other abuse.
- Crypto-denominated rewards are subject to market volatility. planB is not liable for fluctuations in value, technical failures preventing immediate participation or manifest configuration errors, and reserves the right to adjust balances to correct such errors.
11. Disclaimers
- The App is provided "as is" and "as available," without warranties of any kind.
- We do not guarantee uninterrupted service, error-free operation, or accuracy of third-party services.
- We are not liable for losses due to asset volatility, failed transactions, or service provider actions.
- No fiduciary duty. These Terms do not create any fiduciary duty owed by planB to you. planB does not owe you a duty of loyalty, asset-management or financial care; its only obligations are the technical ones described in these Terms.
- No investment advice. Information shown in the App (prices, quotes, balances) does not constitute investment, legal or tax advice. You operate at your own risk.
12. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify and hold harmless planB, its officers, directors, employees, contractors and partners from and against any and all claims, demands, liabilities, losses, damages, fines, penalties and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the App, the Services or the planB Visa card; (b) your breach of these Terms or of any partner terms applicable to a Service you use; (c) your violation of any law, regulation or third-party right; or (d) any content or information you submit, communicate or transmit through the App.
13. Limitation of Liability
To the fullest extent permitted by law:
- planB shall not be liable for indirect, incidental, special, exemplary, punitive or consequential damages of any kind, including loss of profits, loss of opportunity, loss of data or loss of goodwill.
- Cap on direct damages. Considering that planB is a software and interface provider and not a custodian of your assets, except in cases of gross negligence or wilful misconduct duly proven, planB's total aggregate liability to you for any direct damages arising from or related to these Terms or the use of the App, regardless of the cause of action, shall be limited to the greater of (i) the total Service fees you paid to planB in the six (6) months immediately preceding the event giving rise to the claim, excluding network/gas fees and any fees charged by partners, or (ii) USD 100.
- planB's liability shall under no circumstance be calculated based on the value of digital assets you hold on the blockchain, since planB does not custody or control those assets.
- Specific exclusions. In addition to the above, planB is not liable for losses arising from: (a) loss, theft or compromise of your private keys, recovery phrase or device credentials; (b) blockchain network failures, congestion, reorganisations or 51% attacks; (c) user errors such as sending assets to a wrong address, choosing the wrong network or interacting with malicious smart contracts; (d) failure, insolvency or operational decisions of third-party partners; or (e) lost expected profits caused by market volatility.
- Brazilian users: these limitations apply to the maximum extent permitted by Brazilian law. Rights granted to consumers by the Código de Defesa do Consumidor (CDC) cannot be waived.
14. Taxes & Reporting
planB does not act as a withholding agent and does not retain, withhold or remit taxes on your behalf. Because the model is self-custody, you are solely responsible for: (a) calculating, declaring and paying any taxes (including capital-gains tax, income tax, IOF and any other tax) applicable to your transactions in your jurisdiction; (b) maintaining the records required for that purpose; and (c) responding to enquiries from your tax authority. planB does not provide tax, accounting, legal or financial advice. Information you may export from the App is provided for your convenience and is not certified for tax-filing purposes.
15. Account Closure, Succession & Estate
16. No Unclaimed Property
Unlike a custodial bank or brokerage, planB does not hold custody of your digital assets. There is therefore no "dormant account" or "unclaimed property" mechanism by which planB could escheat or transfer your assets to a state authority due to inactivity. If you stop using the App for any period of time your assets remain on the blockchain, accessible to whoever holds your recovery phrase.
17. Dispute Resolution & Governing Law
- Governing law. These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws provisions.
- Amicable resolution first. Except where prohibited by law, before initiating any judicial or administrative proceeding against planB, you agree to first contact us in writing at contact@planb.army with a description of the dispute and the relief sought, and to allow planB a period of thirty (30) days from receipt of your full complaint to investigate and propose a resolution. If you commence a proceeding without first attempting amicable resolution, planB may request its suspension until the procedure is concluded.
- Arbitration (users worldwide except Brazilian consumers). Disputes that cannot be resolved amicably shall be resolved by binding arbitration in Sheridan County, Wyoming, conducted in English under the rules of the American Arbitration Association.
- Brazilian consumers — special rules. The Brazilian Código de Defesa do Consumidor (CDC) applies as a matter of public policy. Brazilian consumers may bring claims in the courts of their own domicile under Article 101, I of the CDC (foro do consumidor). Compulsory arbitration is NOT binding on Brazilian consumers under Brazilian law; arbitration is offered as an OPTIONAL alternative for Brazilian consumers who agree to it after a dispute arises.
- No class actions. To the fullest extent permitted by law, the parties agree that disputes shall be resolved on an individual basis only, and waive any right to participate in any class, collective or representative action.
18. Changes
We may update these Terms from time to time. Updated Terms will be effective upon posting in the App. Continued use constitutes acceptance.
